Introduction
This
Refund Policy sets out the terms and conditions under which FilingsBaba
Kconsulting Private Limited ("FilingsBaba", "we",
"us", or "our") considers refund requests
from clients ("you", "Client", or "User")
who have engaged our Services through the website www.filingsbaba.com or
through any other channel.
This
Refund Policy forms an integral part of our Terms and Conditions. By making any
payment to FilingsBaba, you confirm that you have read, understood, and agreed
to be bound by this Refund Policy.
2.
Nature of Our Services
FilingsBaba
provides professional consulting and advisory services in areas such as company
incorporation, tax registrations and filings, intellectual property
registrations, regulatory licensing, secretarial compliance, legal
documentation, and business advisory.
Our
Services involve:
(a)
Substantial professional time, expertise, and effort;
(b)
Drafting, review, and submission of documents;
(c)
Liaison with government authorities, regulatory bodies, and third parties;
(d)
Use of digital signature certificates (DSC), online portals, and government
services that involve non-recoverable costs;
(e)
Engagement of empanelled professionals such as chartered accountants, company
secretaries, and advocates.
Because
of the nature of professional services, fees are generally non-refundable
once work has commenced. This Refund Policy explains the limited
circumstances in which refunds may be considered.
3.
Components of Fees
Fees
paid to FilingsBaba typically consist of three components:
3.1
Professional Fees
These
are the fees charged by FilingsBaba for our advisory, consulting, and
processing services. Professional Fees compensate the time, expertise, and
effort of our team and empanelled professionals.
3.2
Government Fees
These
are statutory fees, duties, taxes, levies, and charges payable to government
authorities and regulatory bodies (such as MCA, GSTN, IP India, RBI, SEBI,
FSSAI, RERA, Income Tax Department, state authorities, etc.).
3.3
Third-Party Charges
These
include charges for:
(a)
Digital Signature Certificates (DSC) issued by certifying authorities;
(b)
Notary, stamp duty, and franking charges;
(c)
Third-party software, platforms, and tools used for the engagement;
(d)
Empanelled professional fees, where charged separately;
(e)
Courier, postage, and document handling charges.
Refund
eligibility differs for each component, as explained below.
4.
Government Fees and Third-Party Charges — Strictly Non-Refundable
Government
Fees and Third-Party Charges are strictly non-refundable under any
circumstances. This is because:
(a)
These payments are made to government authorities, certifying agencies, or
third parties on your behalf;
(b)
Once paid to such external parties, these amounts cannot be recovered by
FilingsBaba;
(c)
Government authorities and regulatory bodies do not refund statutory fees even
if the underlying application is rejected, withdrawn, or cancelled;
(d)
Digital Signature Certificates, once issued, cannot be cancelled or refunded;
(e)
Stamp duty, notary, and franking charges, once paid, are non-refundable as a
matter of law.
This
applies regardless of whether the application is approved, rejected, withdrawn,
or abandoned.
5.
Refund of Professional Fees
Refund
of Professional Fees may be considered only in the following limited
circumstances:
5.1
Cancellation Before Commencement of Work
If
you cancel an engagement before any work has been initiated by
FilingsBaba — meaning before:
(a)
Allocation of the file to our team;
(b)
Initial consultation or document review;
(c)
Drafting of any document;
(d)
Communication with any government portal or third party;
A
refund of Professional Fees may be processed after deducting administrative
charges of up to 20% of the Professional Fees paid. This deduction covers
payment processing fees, account allocation, and administrative overheads.
5.2
Cancellation After Partial Performance
If
you cancel an engagement after work has commenced but before completion,
a pro-rata refund of Professional Fees may be considered after
deducting:
(a)
The value of work already performed by FilingsBaba (including consultations,
drafting, document review, and portal interactions);
(b)
Administrative charges of up to 20% of the Professional Fees paid;
(c)
Any costs incurred by FilingsBaba in preparation of the engagement.
The
determination of work performed and the consequent deduction shall be at
FilingsBaba's reasonable discretion, which shall be final and binding.
5.3
Service Not Delivered Due to FilingsBaba's Default
If
FilingsBaba is unable to deliver the contracted Service due to reasons solely
attributable to us (and not due to government delay, your default, or force
majeure), we shall:
(a)
First attempt to remedy the situation by reassigning the engagement;
(b)
If remediation is not possible, refund the Professional Fees attributable to
the unperformed portion of the work.
5.4
Duplicate Payment
If
you have inadvertently made a duplicate payment for the same engagement, we
shall refund the duplicate amount in full upon verification.
6.
Situations Where Refund Will Not Be Granted
No
refund of Professional Fees shall be granted in the following situations:
6.1
False or Misleading Information
Where
you have provided incorrect, false, fabricated, incomplete, or misleading
information or documents that have caused delay, rejection, or failure of the
engagement.
6.2
Non-Cooperation
Where
delays or failures arise from:
(a)
Your failure to provide required documents within reasonable time;
(b)
Your failure to respond to our communications, queries, or requests;
(c)
Your failure to attend scheduled appointments, video calls, or verifications;
(d)
Your failure to provide signatures, DSC, OTP, or biometric authentication when
required.
6.3
Change in Requirements
Where
you change your requirements mid-way through the engagement after work has
commenced, requiring substantial rework or restart of the engagement.
6.4
Substantial Completion
Where
the Services have been substantially completed, even if you choose not to
proceed further.
6.5
Application Rejected by Authority
Where
an application is rejected by a government authority for reasons not
attributable to errors or negligence on the part of FilingsBaba — including but
not limited to:
(a)
Statutory ineligibility of the applicant;
(b)
Discretionary decisions of the authority;
(c)
Objections, oppositions, or examination findings raised by examiners;
(d)
Insufficient justification, documentation, or commercial substance presented by
you;
(e)
Changes in law, regulation, or policy during the application period.
In
such cases, FilingsBaba may at its discretion offer to assist with re-filing
for a reduced re-filing fee.
6.6
Termination Due to Breach
Where
the engagement has been terminated by FilingsBaba due to your breach of the
Terms and Conditions, fraudulent conduct, or unethical behaviour.
6.7
Digital and Subscription Services
For:
(a)
Subscription-based services after the relevant subscription period has
commenced;
(b)
Retainer engagements after the retainer period has commenced;
(c)
Downloadable templates, e-books, or digital resources once accessed or
downloaded;
(d)
Webinars, workshops, or training sessions once attended;
(e)
Access to premium content or paid sections of the Website once granted.
6.8
Government Fees Component
Government
Fees, statutory levies, third-party charges, DSC charges, and stamp duty paid
during any engagement, regardless of outcome (as detailed in Clause 4).
6.9
Time-Sensitive Filings
For
time-sensitive filings (such as last-minute tax returns, statutory deadlines)
where Professional Fees have been charged at urgency rates, no refund shall be
granted once the filing has been initiated, even if the deadline is missed due
to factors beyond FilingsBaba's control.
6.10
Past Engagements
For
engagements completed in previous financial years or for which the limitation
period for raising a refund claim has expired (as set out in Clause 9.6).
7.
Refund Process
7.1
How to Request a Refund
All
refund requests must be:
(a)
Submitted in writing to contact@filingsbaba.com with the subject line
"Refund Request – [Your Name / Company Name] – [Engagement Reference]";
(b)
Accompanied by:
(i)
Details of the engagement (service availed, date of payment, amount paid);
(ii)
Reasons for the refund request;
(iii)
Proof of payment (receipt, transaction ID, bank statement);
(iv)
Any supporting documents.
7.2
Review Period
Upon
receipt of a complete refund request, FilingsBaba shall:
(a)
Acknowledge receipt within 3 (three) working days;
(b)
Review the request, including the work performed and the reasons cited;
(c)
Communicate its decision within 10 to 15 working days of
acknowledgement;
(d)
Where additional information is required, the timeline may be extended
accordingly.
7.3
Decision and Communication
FilingsBaba's
decision on:
(a)
Eligibility for refund;
(b)
Quantum of refund;
(c)
Deductions applicable;
(d)
Mode of refund;
shall
be final and binding, subject only to the dispute resolution provisions
of the Terms and Conditions.
7.4
Mode of Refund
Approved
refunds shall be processed:
(a)
Through the original mode of payment wherever feasible;
(b)
Where the original mode is not available, by NEFT/RTGS to your designated bank
account;
(c)
After deduction of any payment gateway charges, where applicable.
7.5
Timeline for Refund Credit
Once
a refund is approved, the amount shall be processed within 15 to 30 working
days. The actual credit to your account depends on:
(a)
Your bank's processing time;
(b)
The payment gateway's processing time;
(c)
The mode of payment originally used.
FilingsBaba
shall not be liable for delays in the actual credit caused by banks or payment
gateways.
8.
Chargebacks and Disputes
8.1
Direct Resolution Preferred
Before
initiating a chargeback, dispute, or complaint with any payment gateway, bank,
or consumer forum, you agree to first contact FilingsBaba directly at contact@filingsbaba.com
to attempt resolution. Most disputes can be resolved quickly through direct
communication.
8.2
Wrongful Chargebacks
If
you initiate a chargeback or dispute that is subsequently determined to be
wrongful, fraudulent, or in breach of this Refund Policy, FilingsBaba reserves
the right to:
(a)
Recover the disputed amount, along with bank charges and administrative costs;
(b)
Suspend or terminate your account and any ongoing engagements;
(c)
Report the matter to relevant authorities and credit bureaus;
(d)
Initiate legal action to recover dues and damages.
8.3
Cooperation
You
agree to cooperate with FilingsBaba in providing documentation, communication
records, and other evidence required to defend any wrongful chargeback or
dispute.
9.
Special Situations
9.1
Promotional Offers and Discounts
For
Services availed under promotional offers, festive discounts, or special
schemes:
(a)
The refund (if applicable) shall be calculated on the discounted amount
actually paid and not on the regular fee;
(b)
Vouchers, coupons, and promotional credits used for the Service shall not be
refunded in cash and may be reissued at FilingsBaba's discretion;
(c)
Specific terms of the offer shall prevail over this Refund Policy where they
are more restrictive.
9.2
Bundled Services
For
bundled service packages (e.g., "Company Registration + GST +
Trademark" combo):
(a)
Refund eligibility shall be assessed for each component separately;
(b)
Discounts applicable to the bundle shall be reversed pro-rata for the refunded
component;
(c)
The remaining components, if availed, shall be charged at standard non-bundle
rates.
9.3
Annual Compliance Packages
For
annual compliance retainers:
(a)
Cancellation before the start of the retainer period entitles you to a full
refund less administrative charges of 20%;
(b)
Mid-year cancellation entitles you to a pro-rata refund for the unutilised
portion, after deducting work performed and administrative charges;
(c)
Completion of even a single deliverable in a quarter renders that quarter's fee
non-refundable.
9.4
Gift and Third-Party Engagements
Where
Services are paid for by one party (e.g., a parent, spouse, or business
associate) on behalf of another:
(a)
Refunds shall be processed only to the original payer;
(b)
Cancellation rights vest with the party that engaged FilingsBaba.
9.5
Foreign Currency Payments
For
payments received in foreign currency:
(a)
Refunds shall be processed in Indian Rupees at the prevailing exchange rate on
the date of refund;
(b)
Foreign exchange conversion charges, bank charges, and FEMA-related compliance
costs shall be deducted from the refund;
(c)
Exchange rate fluctuations between payment and refund shall be borne by you.
9.6
Limitation Period for Refund Claims
All
refund claims must be raised within 30 days of:
(a)
The date of payment, in case of cancellation before commencement;
(b)
The date of completion of the engagement, in case of dissatisfaction;
(c)
The date of the rejection or adverse decision by the authority, in case of
failed applications.
Claims
raised beyond this limitation period shall not be entertained.
10.
Force Majeure
FilingsBaba
shall not be obligated to provide refunds in cases of failure or delay caused
by Force Majeure Events, including but not limited to:
(a)
Acts of God, natural disasters, floods, earthquakes, fires;
(b)
Epidemics, pandemics, public health emergencies;
(c)
War, terrorism, riots, civil unrest;
(d)
Strikes, lockdowns, government-imposed restrictions;
(e)
Failure or unavailability of government portals (such as MCA, GSTN, IP India,
Income Tax portal, RBI, SEBI portal, etc.);
(f)
Internet, telecommunications, or power outages;
(g)
Cyberattacks, ransomware, or other malicious technical events;
(h)
Changes in law, regulation, or government policy.
In
the event of prolonged Force Majeure, FilingsBaba may at its discretion offer
alternative arrangements, credits for future Services, or partial refunds.
11.
No Refund Guarantee
This
Refund Policy describes the circumstances under which refunds may be
considered. It does not constitute a guarantee or warranty that any
specific refund will be granted. Each refund request is evaluated on its
individual merits.
FilingsBaba's
commercial discretion in granting or denying refunds — within the framework of
this Policy — shall be exercised reasonably and in good faith, but the decision
shall be final.
12.
Modifications to Refund Policy
FilingsBaba
reserves the right to modify, amend, or update this Refund Policy at any time.
Any changes shall be effective upon posting on the Website. The "Last
Updated" date at the top of this page indicates when this Policy was last
revised.
Refund
requests shall be evaluated under the version of the Policy in effect on the
date of payment, except where the revised Policy is more favourable to you.
13.
Disputes Regarding Refunds
Any
dispute regarding refunds shall be resolved in accordance with the dispute
resolution provisions set out in our Terms and Conditions, including:
(a)
Initial amicable resolution through direct communication;
(b)
Escalation to our Grievance Officer;
(c)
Arbitration under the Arbitration and Conciliation Act, 1996, with seat at
Delhi.
14.
Grievance Redressal
If
you are dissatisfied with the handling of your refund request, you may escalate
the matter to our Grievance Officer:

Grievance Officer shall acknowledge your complaint within 24 hours and respond
with a final decision within 15 days, in accordance with the Information
Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
15.
Governing Law and Jurisdiction
This
Refund Policy shall be governed by the laws of the Republic of India.
Subject to the arbitration clause in the Terms and Conditions, the courts at Delhi,
India shall have exclusive jurisdiction over any matter arising out of or
in connection with this Refund Policy.
