1. Introduction and Acceptance

Welcome to FilingsBaba. These Terms and Conditions ("Terms") govern your access to and use of the website www.filingsbaba.com (the "Website") and all services, products, content, and features offered by FilingsBaba Kconsulting Private Limited (referred to as "FilingsBaba", "Company", "we", "us", or "our"), a private limited company incorporated under the Companies Act, 2013, having its registered office at U-110, Shakarpur, East Delhi, Delhi – 110092, India, bearing Corporate Identity Number U74999DL2022PTC397214 and PAN AAFCF0241G.

By accessing the Website, registering for an account, submitting an enquiry, making a payment, or availing any service offered by FilingsBaba (collectively, the "Services"), you ("User", "Client", "you", or "your") agree to be bound by these Terms and all policies referenced herein, including our Refund Policy, Legal Disclaimer, and Client Data Confidentiality Statement.

If you do not agree with any part of these Terms, you must immediately discontinue use of the Website and Services.

These Terms constitute a legally binding agreement between you and FilingsBaba and form an electronic contract under the Information Technology Act, 2000 and the Indian Contract Act, 1872. No physical, electronic, or digital signature is required to make these Terms binding.

2. Definitions

For the purpose of these Terms, the following expressions shall have the meanings assigned to them below:

"Account" means the registered profile created by a User on the Website to access the Services.

"Content" means all text, graphics, images, logos, videos, software, data, and other material appearing on the Website.

"Government Fees" means statutory fees, duties, taxes, levies, and charges payable to government authorities, regulatory bodies, or third-party agencies in connection with any Service.

"Professional Fees" means the fees charged by FilingsBaba for its advisory, consultancy, and processing services, exclusive of Government Fees and applicable taxes.

"Services" means all consulting, advisory, registration, compliance, filing, drafting, certification, and related services provided by FilingsBaba directly or through its empanelled professionals and partners.

"User" means any person, firm, company, or other legal entity that accesses the Website or avails any Service.

3. Eligibility

By using the Website or availing any Service, you represent and warrant that:

(a) You are at least 18 years of age and competent to enter into a legally binding contract under Section 11 of the Indian Contract Act, 1872;

(b) If you are accessing the Website or availing Services on behalf of an entity, you have the requisite authority to bind such entity to these Terms;

(d) The information you provide to FilingsBaba is true, accurate, current, and complete;

(e) You will use the Services solely for lawful purposes and in compliance with all applicable laws.

FilingsBaba reserves the right to refuse Services to any person at its sole discretion without assigning any reason.

4. Scope of Services

FilingsBaba is a professional consulting firm offering advisory and facilitation services in the following areas:

(a) Business incorporation and registration (Private Limited Companies, LLPs, OPCs, Public Companies, Section 8 Companies, Producer Companies, Nidhi Companies, NBFCs, Cooperative Societies, foreign branch and liaison offices, and other entity types);

(b) Tax registrations and filings (GST, Income Tax, TDS, Professional Tax, ESI, EPF);

(d) Regulatory licensing (FSSAI, RBI, SEBI, IRDAI, DPIIT, RERA, BIS, ISO, and other regulatory bodies);

(e) Compliance management (ROC filings, secretarial services, audit support, listed entity compliances);

(f) Legal documentation and advisory (agreements, NCLT matters, corporate restructuring);

(g) Loan facilitation, business advisory, and ancillary consulting services;

(h) Such other services as may be added to the Website from time to time.

Important: FilingsBaba acts as a facilitator and consultant. The grant of any registration, license, certificate, or approval is the sole prerogative of the concerned authority and is not within FilingsBaba's control.

5. Engagement and Service Process

5.1 Quotation and Acceptance

Upon receipt of an enquiry, FilingsBaba shall provide a quotation specifying the Professional Fees, estimated Government Fees, scope of work, deliverables, and indicative timelines. The engagement shall commence upon: (i) your written or electronic acceptance of the quotation, and (ii) receipt of the agreed advance payment.

5.2 Information and Documentation

You shall provide FilingsBaba with all information, documents, declarations, KYC details, photographs, signatures, digital signatures (DSC), and other materials reasonably required for the performance of the Services. Delays, errors, or omissions in providing such information may extend timelines and may result in additional charges.

5.3 Accuracy and Authenticity

You represent and warrant that all information and documents provided by you are true, accurate, complete, genuine, and not misleading. You shall be solely responsible for the consequences of any false, fabricated, forged, or misleading information submitted to FilingsBaba or to any authority through FilingsBaba.

5.4 Timelines

Any timeline communicated by FilingsBaba is indicative only and is subject to government processing times, technical issues with regulatory portals, completeness of documents, response times of third parties, force majeure events, and other factors outside FilingsBaba's control.

5.5 Communication

You agree to designate one or more authorised representatives for communication with FilingsBaba. All communications sent to your registered email address, mobile number, or WhatsApp number shall be deemed received by you.

6. Fees, Payments, and Taxes

6.1 Professional Fees

Professional Fees are quoted on the Website and in individual quotations. Fees may vary based on the complexity of work, urgency, jurisdiction, and additional services requested. FilingsBaba reserves the right to revise its fee structure at any time, provided that revised fees shall not apply to ongoing engagements where payment has already been received.

6.2 Government Fees

Government Fees are payable in addition to Professional Fees and are pass-through charges. They are subject to revision by the concerned authority and shall be charged at actuals. Any increase in Government Fees during the course of the engagement shall be borne by you.

6.3 Goods and Services Tax (GST)

All Professional Fees are exclusive of GST. GST shall be charged at the applicable rate as per the Central Goods and Services Tax Act, 2017 and the rules made thereunder. Tax invoices shall be issued in accordance with applicable law.

6.4 Payment Terms

(a) Unless otherwise agreed, an advance of 50% of the Professional Fees plus 100% of Government Fees and applicable GST is payable at the time of engagement;

(b) The balance Professional Fees become due and payable on completion or as per the milestone schedule communicated to you;

(d) FilingsBaba shall not commence or continue Services in case of non-payment of dues;

(e) Any payment delay beyond 7 (seven) days from the due date may attract interest at 1.5% per month (or part thereof), compounded monthly, until the date of actual payment.

6.5 Discounts and Promotional Offers

Discounts, coupons, and promotional offers, if any, are subject to specific terms communicated at the time of the offer. FilingsBaba reserves the right to modify, withdraw, or terminate any offer without prior notice. Discounts cannot be combined unless expressly permitted.

6.6 No Set-off

You shall not be entitled to withhold or set off any amount due to FilingsBaba against any claim, dispute, or alleged liability without the prior written consent of FilingsBaba.

Note: Refund and cancellation provisions are governed by our separate Refund Policy, which forms an integral part of these Terms.

7. User Accounts and Security

7.1 Account Registration

Some Services require you to create an Account on the Website. You shall provide accurate, current, and complete information during registration and keep your Account information updated.

7.2 Account Security

You are solely responsible for:

(a) Maintaining the confidentiality of your login credentials;

(b) All activities that occur under your Account;

(d) Logging out of your Account at the end of each session.

FilingsBaba shall not be liable for any loss or damage arising from unauthorised use of your Account.

7.3 Account Suspension and Termination

FilingsBaba reserves the right, at its sole discretion, to suspend or terminate your Account without notice if:

(a) You breach these Terms;

(b) You provide false or misleading information;

(d) Required by law or court/regulatory order;

(e) Continued provision of Services is no longer commercially viable.

8. User Obligations and Prohibited Conduct

By using the Website and Services, you agree NOT to:

(a) Use the Website for any unlawful purpose or in violation of any applicable law or regulation;

(b) Submit false, fabricated, forged, or misleading documents or information;

(d) Impersonate any person or misrepresent your identity, affiliation, or authority;

(e) Upload, transmit, or distribute any virus, malware, trojan, worm, or other malicious code;

(f) Attempt to gain unauthorised access to the Website, FilingsBaba's servers, databases, or any other system or network connected to the Website;

(g) Use any robot, spider, scraper, or other automated means to access the Website;

(h) Interfere with or disrupt the Website's functioning, servers, or networks;

(i) Reverse engineer, decompile, or disassemble any part of the Website or its software;

(j) Reproduce, duplicate, copy, sell, resell, or commercially exploit any portion of the Website or Services without express written permission from FilingsBaba;

(k) Post, upload, or transmit any content that is defamatory, obscene, threatening, harassing, hateful, racially or ethnically objectionable, or otherwise unlawful;

(l) Use the Services to compete with FilingsBaba or to develop a competing service;

(m) Engage in any conduct that violates the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, or any other applicable law.

Violation of any of these obligations may result in immediate termination of Services, forfeiture of fees, and legal action.

9. Intellectual Property Rights

9.1 FilingsBaba's IP

All Content on the Website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, downloads, software, code, databases, design, layout, look-and-feel, the name "FilingsBaba", and the "FilingsBaba Kconsulting" trademark and logo, are the property of FilingsBaba or its licensors and are protected under the Indian Copyright Act, 1957, the Trade Marks Act, 1999, the Designs Act, 2000, and other applicable Indian and international intellectual property laws.

9.2 Limited Licence

FilingsBaba grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Website and Services solely for your personal or internal business purposes, in accordance with these Terms.

9.3 Restrictions

You shall not, without prior written consent of FilingsBaba:

(a) Reproduce, modify, adapt, translate, or create derivative works from any Content;

(b) Use any Content on any other website or in any networked computer environment;

(d) Frame, mirror, or use meta tags or other hidden text utilising FilingsBaba's name or trademarks.

9.4 Client Materials

You retain all rights in materials, documents, and information you provide to FilingsBaba ("Client Materials"). You grant FilingsBaba a non-exclusive, royalty-free licence to use Client Materials solely for the purpose of providing the Services.

9.5 Work Product

Subject to full payment of all fees, you shall own the deliverables specifically created for you under an engagement (e.g., drafted agreements, application forms, registration certificates obtained on your behalf). However, FilingsBaba retains ownership of all underlying tools, templates, methodologies, know-how, and pre-existing materials used to create such deliverables.

10. Termination

10.1 Termination by User

You may terminate an engagement at any time by providing written notice to FilingsBaba. Termination shall be governed by the Refund Policy.

10.2 Termination by FilingsBaba

FilingsBaba may terminate any engagement and/or your access to the Website immediately, without prior notice, if:

(a) You breach any provision of these Terms;

(b) You fail to make payment of fees when due;

(d) You engage in fraudulent, illegal, or unethical conduct;

(e) Continued engagement creates a conflict of interest, regulatory risk, or reputational risk for FilingsBaba;

(f) You become insolvent, bankrupt, or initiate proceedings for liquidation, winding-up, or arrangement with creditors;

(g) Required by law, court order, or regulatory direction.

10.3 Effect of Termination

Upon termination, your right to use the Website and Services shall cease immediately and all fees due to FilingsBaba up to the date of termination shall become immediately payable. Provisions relating to confidentiality, intellectual property, indemnification, and limitation of liability shall survive termination.

11. Indemnification

You agree to indemnify, defend, and hold harmless FilingsBaba, its directors, officers, employees, agents, partners, and affiliates from and against any and all claims, demands, actions, suits, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

(a) Your breach of these Terms or any representation or warranty made herein;

(b) Your violation of any applicable law or third-party rights;

(d) Your use or misuse of the Website or Services;

(e) Disputes between you and any third party arising from your business activities;

(f) Penalties, fines, or interest levied by any authority due to your acts or omissions.

This indemnification obligation shall survive the termination of these Terms.

12. Force Majeure

FilingsBaba shall not be liable for any failure or delay in performance of its obligations resulting from any cause beyond its reasonable control, including but not limited to: acts of God, natural disasters, floods, earthquakes, fires, epidemics, pandemics, war, terrorism, riots, civil unrest, strikes, lockdowns, government actions, regulatory restrictions, judicial orders, internet or telecommunications failures, power outages, cyberattacks, or technical failures of government portals (such as MCA, GSTN, Income Tax, IP India, Trademark Registry).

13. Anti-Money Laundering and KYC

FilingsBaba is committed to combating money laundering, terrorism financing, and other financial crimes. You agree to:

(a) Provide complete and accurate KYC documents (including PAN, Aadhaar, address proof, and entity documents as applicable);

(b) Cooperate with any enhanced due diligence requirements;

(d) Disclose any politically exposed person (PEP) status, sanctions exposure, or other relevant risk factors.

FilingsBaba reserves the right to refuse, suspend, or terminate Services where it has reasonable grounds to suspect money laundering, fraud, sanctions violations, or other illegal activity.

14. Modifications to Terms

FilingsBaba reserves the right to modify these Terms at any time. Material changes shall be notified by email, by posting on the Website, or through other reasonable means. Your continued use of the Website or Services after such notice shall constitute your acceptance of the revised Terms. The "Last Updated" date at the top of this page indicates when these Terms were last revised.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India.

15.2 Amicable Resolution

In the event of any dispute, the parties shall first attempt to resolve the matter amicably through good-faith negotiations within 30 (thirty) days of written notice.

15.3 Arbitration

If the dispute is not resolved through amicable negotiation, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996:

(a) The arbitration shall be conducted by a sole arbitrator;

(b) The seat and venue of arbitration shall be Delhi, India;

(d) The arbitral award shall be final and binding.

15.4 Jurisdiction

Subject to the arbitration clause, the courts at Delhi, India shall have exclusive jurisdiction.

16. Grievance Redressal

In compliance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, FilingsBaba has appointed a Grievance Officer to address user concerns:

Grievances will be acknowledged within 24 hours of receipt and resolved within 15 days, in accordance with applicable law.

17. General Provisions

These Terms, together with the Refund Policy, Legal Disclaimer, Client Data Confidentiality Statement, and any specific engagement letter, constitute the entire agreement between you and FilingsBaba.

If any provision is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No failure or delay by FilingsBaba in exercising any right shall operate as a waiver of such right.

You may not assign your rights or obligations under these Terms without the prior written consent of FilingsBaba. FilingsBaba may assign its rights and obligations to any affiliate, successor, or acquirer without your consent.

Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between you and FilingsBaba.

Provisions that by their nature should survive termination shall continue to apply after termination.

BY ACCESSING THE WEBSITE, REGISTERING AN ACCOUNT, OR AVAILING ANY SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS, THE REFUND POLICY, THE LEGAL DISCLAIMER, AND THE CLIENT DATA CONFIDENTIALITY STATEMENT.
